The StandBy website and application (collectively referred to as the “Website”) exists solely for the purposes of aiding active and retired airline employees in gathering load information regarding non-revenue seats on commercial airlines; sharing load information regarding non-revenue seats on commercial airlines, accommodation bookings, vehicle rentals, employee discounts; and the sharing of information that relates to travel and accommodation. The terms “StandBy”, “our”, “us” and “we” refer to FlightX LLC, and our corporate affiliates and websites (collectively, “StandBy”). The term “you” refers to the customer visiting the Website and/or contributing content on the Website.
The Website is offered to you on the condition that you accept without modification any and all terms, conditions and notices set forth below (collectively, the “Agreement”). By your usage or access of the Website in any manner, you agree to be bound by the Agreement and affirm that you have perused and understood its terms and conditions. Kindly read the document carefully, as it consists of information relating to your legal rights and limitations thereof, in addition to a section regarding the jurisdiction of disputes and applicable law(s). StandBy only allows customers who have agreed with the terms and conditions onto the Website. Accordingly, customers will be presented, at their initial login, with a dialog that carries the option to agree to these terms and conditions. The dialog will be presented again in the event of a change to these terms and conditions. StandBy logs through a user management system if a user has agreed to these terms and conditions.
As a condition of your usage of the Website, you agree that (i) all information entered by you on the Website is true, complete, current and accurate, (ii) if you have a StandBy account, you will protect your account information and will supervise and be solely and entirely responsible for any usage of your account by any entity other than you, (iii) you are 13 years of age or older in order to register an account and contribute to the Website and (iv) you possess the legal authority to enter into this Agreement and to use the Website according to all terms and conditions herein.

All privacy provisions in these terms correspond to the Privacy Policy which is separately published and applied on the StandBy Website.
FlightX and StandBy respect the privacy of each individual Visitor and ensure that the personal data of each individual Visitor is handled with care and with the utmost confidentiality.
Visitor details will be stored, saved, and used by StandBy to ensure the quick and smooth supply of our Products and Services and thereby to perform any agreement. To this end, the Visitor is recognized by the Website via a cookie. By agreeing to these terms and conditions, the Visitor grants their consent for the use of cookies to the extent which we deem necessary.

You acknowledge that StandBy may, at our sole discretion, choose to provide attribution of your requests, reviews or comments. You additionally grant StandBy and FlightX the right to legally pursue any entity or individual that violates your or StandBy’s rights in the Submissions by a breach of the Agreement. You accept and fully agree that Submissions are non-proprietary and non-confidential.
StandBy does not control or edit the User Messages distributed on or posted to the Website including through any bulletin boards, chatrooms or other forums for communication, and hence will not be held in any way liable or responsible for said User Messages. StandBy also reserves the right to remove any Website Content and/or User Messages for any reason, without notice, and in our sole discretion.
Exchanging information regarding loads of non-revenue seats in commercial flights is only permitted via the request system, and any user using other means through this Website will be subject to removal from the Website. The Website may contain review services, bulletin boards, discussion forums or other forums in which you or third parties may post load information or other content, materials, messages or other items on the Website (“Interactive Areas”). If StandBy provides such Interactive Areas, you are solely responsible for your use of such Areas and will use them at your own risk. Upon your use of any Interactive Area(s), you fully agree not to post, transmit, create, store, upload to or otherwise publish through the Website any of the following:
a) Any information, data, message, code, text, graphic, photo, sound, music or any other kind of material (“Content”) which is false, misleading, libelous, misleading, obscene, defamatory, lewd, indecent, suggestive, pornographic, harassing or advocating of harassment of another individual person, abusive, fraudulent, inflammatory, invasive of publicity or privacy rights, threatening, or otherwise objectionable;

j) Content that consists of restricted or password only access pages, or hidden images or pages (those that are not linked from or to another accessible page);
k) Corrupted data, viruses, or other destructive, disruptive, harmful or malicious files;
l) Content unrelated to the corresponding topic of the Interactive Area(s) in which such Content is posted; or

As an interactive services provider, StandBy is not liable for any Content, representations or statements provided by its users in any personal home page, public form or other Interactive Area(s). Any use of the Website, its Interactive Areas or other portion that violates the above, is in violation of the terms of the Agreement and may result in, among other things, the suspension or termination of your rights to use the Website and/or its Interactive Areas.
Tokens can be utilized to request non-revenue flight loads and any other interactive service StandBy might introduce or implement in the future.
a) Every request or update for an earlier request will cost the user one token per flight segment;
b) Flight segments that go unanswered at the point of flight departure will be refunded to the user;
c) All users are issued 5 tokens for free upon joining StandBy;
d) Free tokens can be claimed by responding to load requests or by inviting new users to join StandBy via corresponding online invitation methods and links;
e) Users can purchase extra tokens through StandBy in the event they run out of tokens;
f) Tokens are non-refundable once purchased;
g) Tokens cannot be exchanged for cash;
h) Token do not have any expiry date;
i) StandBy reserves the right to modify or amend any of these terms and conditions without notice. Amended terms will be made to appear on this Website.
j) All tokens will be deemed null and void and will not be refunded in the event StandBy creases to provide its services.
You agree to indemnify and defend StandBy and its affiliates and any of their directors, officers, agents and employees against and from any damages, losses, recoveries, demands, causes of action, claims, penalties, fines or other expenses or costs of any kind or nature, including but not limited to, reasonable accounting and legal fees, brought by third parties as a consequence of:
a) Your use of the Website;
b) Your violation of any law(s) or the rights of a third party; or
c) Your breach of the Agreement or any document(s) referenced herein.
The Website may contain links to sites owned and/or operated by parties other than StandBy. Such links are provided solely for your reference. Our execution and performance of the Agreement is subject to existing legal process(es) and laws, and nothing contained in the Agreement limits or curbs our right to comply with the courts, authorities, law enforcement, or other legal or governmental requirements or requests related to your use of the Website or information gathered by or provided to us with respect to such use. You fully agree that you will bring forth any cause of action or claim relating to or arising from your use or access of this Website within two (2) years from the date on which such action or claim accrued or arose, to the extent allowed by applicable law, or such cause of action or claim will be waived irrevocably.
